1. Acceptance of Terms
These Terms of Use apply to Housing Pro Assets, HousingPA, CommercialPMPA, ValuAI, CommercialValu, Seller tools, Offers tools, HPA AI chat experiences, and similar current or future real estate websites, apps, portals, calculators, reports, and communication tools that link to these Terms.
By accessing or using the services, you agree to these Terms. If you do not agree, do not use the services.
2. Our Services
HPA provides real estate-related websites and tools that may include AI chat, property valuation support, seller reports, buyer or investor analysis, commercial analysis, property management intake, offer submission workflows, rental application workflows, document checklists, calculators, market summaries, email routing, contact forms, and related communications.
Some services are informational. Some may support brokerage, management, transaction, or operational workflows. The availability, design, and functionality of each tool may change over time.
3. No Legal, Tax, Financial, Appraisal, or Professional Advice
Our services may provide estimates, summaries, AI-generated content, valuation ranges, rent assumptions, cap rate examples, comparable-property references, suggested next steps, and other real estate information. These materials are for general informational and workflow-support purposes only.
Unless separately agreed in writing, the services do not provide legal advice, tax advice, financial advice, securities advice, appraisal services, engineering advice, inspection services, lending advice, insurance advice, or investment advisory services. You should consult qualified professionals before making decisions.
4. AI Output and Tool Limitations
AI-generated content may be incorrect, incomplete, outdated, biased, or based on assumptions. AI tools may misunderstand user input, overlook facts, or generate confident-sounding but inaccurate answers.
You are responsible for reviewing and verifying AI outputs before relying on them. HPA does not guarantee that AI-generated recommendations, valuations, reports, messages, summaries, calculations, or suggested links are accurate, complete, current, compliant, or suitable for your circumstances.
5. Real Estate Data, Valuations, Listings, and Market Information
Property data may come from public records, user submissions, listing sources, third-party vendors, manual research, AI tools, or assumptions. Real estate markets change quickly, and property information may be inaccurate or incomplete.
Valuation estimates, comparable sales, rent projections, investment returns, cash flow, cap rates, loan assumptions, and market commentary are not guarantees. They should not be treated as appraisals, broker price opinions unless expressly labeled and prepared as such, lending decisions, promises of value, or predictions of future performance.
6. User Submissions, Documents, and Accounts
You are responsible for the accuracy, completeness, legality, and authorization of anything you submit, upload, send, or enter into the services, including property information, financial assumptions, offer documents, application materials, photos, messages, and uploaded files.
You agree not to submit information that is false, misleading, defamatory, discriminatory, infringing, confidential without authorization, malicious, unlawful, or harmful. You also agree not to upload malware, attempt unauthorized access, disrupt the services, scrape data without permission, or misuse AI tools.
If account-based tools are offered, you are responsible for keeping login credentials secure and for activity under your account.
7. Offers, Rental Applications, and Transaction Workflows
Offer portals and rental application tools may help organize submissions, checklists, communications, documents, timestamps, and delivery workflows. These tools do not guarantee acceptance, approval, legal compliance, financing, closing, occupancy, or transaction success.
Users remain responsible for complying with applicable laws, MLS rules, brokerage policies, fair housing laws, agency duties, disclosure obligations, deadlines, contract requirements, and professional responsibilities. Parties should review all transaction documents carefully and consult appropriate professionals.
8. Communications and Electronic Delivery
By submitting forms, using contact tools, or requesting information, you authorize us to contact you using the information you provide, including by email, phone, text, FaceTime, WhatsApp, or similar channels when appropriate. Message and data rates may apply.
Electronic communications are not always secure or instantaneous. Do not send highly sensitive information unless we provide a secure method or specifically request it through an appropriate workflow.
9. Fair Housing and Lawful Use
You agree to use the services in compliance with fair housing laws and all applicable federal, state, and local laws. You may not use the services to discriminate, request discriminatory screening, create unlawful advertising, avoid fair housing obligations, or generate content based on protected classes or unlawful criteria.
10. Third-Party Services and Links
The services may link to or rely on third-party websites, AI providers, email providers, hosting companies, mapping tools, data vendors, brokerage websites, payment tools, communication platforms, or other services. We are not responsible for third-party content, policies, availability, data handling, or performance.
11. Intellectual Property
The services, page designs, copy, workflows, software, reports, branding, prompts, templates, and other materials are owned by HPA or its licensors, except for user-submitted content and third-party materials. You may not copy, resell, reverse engineer, or misuse our materials except as expressly permitted.
You retain ownership of content you submit, but you grant us permission to use it as needed to provide, operate, secure, improve, and support the services.
12. Disclaimers
The services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of accuracy, completeness, availability, merchantability, fitness for a particular purpose, non-infringement, and error-free operation.
We do not guarantee that the services will find the best property, produce the highest sale price, identify every risk, secure financing, obtain approvals, avoid disputes, or produce any particular real estate outcome.
13. Limitation of Liability
To the fullest extent permitted by law, HPA and its owners, affiliates, contractors, service providers, and representatives will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost opportunities, lost data, transaction losses, or business interruption arising from use of the services.
14. Indemnification
You agree to defend, indemnify, and hold harmless HPA and its owners, affiliates, contractors, service providers, and representatives from claims, damages, liabilities, costs, and expenses arising from your use of the services, your submissions, your violation of these Terms, your violation of law, or your infringement of rights.
15. Changes, Suspension, and Governing Law
We may update these Terms, modify or discontinue services, change features, restrict access, or suspend users when needed for security, legal, operational, or business reasons.
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules, unless another written agreement requires otherwise.
